Terms of Service

1. Acceptance of Terms

By accessing or using the Authentica platform and services ("Services") provided by Authentica Supply Chain Solutions Corp. ("Authentica," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and our Acceptable Use Policy. If you do not agree to these Terms, do not use our Services.

2. Description of Services

Authentica provides AI-powered supply chain automation tools, including workflow automation, AI agent orchestration, document processing, and analytics capabilities. Our Services are designed for business use and include AI agent services that process your inputs and generate outputs.

3. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Implement appropriate usage policies and training for your users

4. Acceptable Use

You agree not to, and will not permit your users to:

4.1 Illegal Activities

  • Violate any applicable law, regulation, or third-party right
  • Engage in or promote illegal activities, including money laundering, fraud, or terrorist activities
  • Violate export control or economic sanctions regulations

4.2 Harmful Content Generation

  • Generate content that is unlawful, harmful, threatening, abusive, or harassing
  • Create or distribute content that promotes violence, terrorism, or self-harm
  • Produce hateful, discriminatory, or harassing content based on protected characteristics

4.3 Security & System Integrity

  • Attempt to gain unauthorized access to the Services or other customer accounts
  • Reverse engineer, decompile, or attempt to extract source code or underlying models
  • Interfere with or disrupt the integrity, performance, or security of the Services
  • Introduce viruses, malware, or other malicious code
  • Circumvent technical controls, rate limits, or usage restrictions

4.4 Deceptive Practices

  • Generate synthetic media (deepfakes) intended to deceive or defraud
  • Create misleading content that impersonates real individuals or entities
  • Use the Services for phishing, social engineering, or identity theft

4.5 High-Risk Use Cases

You acknowledge that the Services are general-purpose AI tools. You will not use the Services for the following high-risk applications without implementing appropriate human oversight, safety controls, and compliance measures:

  • Life safety, emergency response, or medical diagnosis/treatment decisions
  • Credit, employment, housing, insurance, or benefits eligibility determinations
  • Law enforcement decisions or critical infrastructure control
  • Autonomous weapons systems or lethal autonomous decision-making

5. Intellectual Property

All content, features, and functionality of our Services are owned by Authentica and are protected by copyright, trademark, and other intellectual property laws.

Customer Outputs: You own the outputs generated by our AI agents when used in accordance with these Terms. We grant you a perpetual, royalty-free license to any Authentica technology embedded in such outputs.

IP Indemnification: We indemnify you against third-party intellectual property claims arising from AI-generated outputs when used as permitted under these Terms.

6. Customer Data

You retain ownership of all data you submit to our Services ("Customer Data"). By using our Services, you grant us a limited license to process your Customer Data solely for the purpose of providing the Services.

No Training by Default: We will not use your Customer Data to train AI models. Any use of customer data for model training requires a separate signed amendment.

Data Deletion: Within 30 days of termination, we will delete or return your Customer Data at your election, and provide written certification of deletion upon request.

7. Confidentiality

We treat your Customer Data as confidential information. We implement appropriate security measures to protect your data, including encryption in transit (TLS 1.2+) and at rest (AES-256), and will not disclose it to third parties except as necessary to provide the Services or as required by law.

8. Service Availability

We target 99% monthly uptime for our Services. Service credits are available if we fail to meet this target:

  • Below 99% but at or above 98%: 5% credit
  • Below 98% but at or above 96%: 10% credit
  • Below 96%: 20% credit (maximum)

Scheduled maintenance (up to 4 hours per month with 72-hour notice) is excluded from uptime calculations.

9. Content Monitoring & Safety

We employ automated systems to detect prohibited uses, including content safety filters and anomaly detection. You acknowledge that:

  • AI systems may produce unexpected or unintended outputs
  • Safety filters are imperfect and may produce false positives/negatives
  • You remain responsible for reviewing and validating outputs before use

10. Enforcement

Upon discovery of a violation of these Terms, we may:

  • For minor violations: Issue a warning with 10 business days to cure
  • For serious violations: Immediately suspend access and/or terminate the agreement
  • For illegal activity: Report to law enforcement as required

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHENTICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) 12 MONTHS OF FEES FOR THE AFFECTED SERVICES, OR (B) THREE TIMES SUCH FEES. THIS CAP DOES NOT APPLY TO INDEMNIFICATION OBLIGATIONS, DATA PROTECTION BREACHES, OR WILLFUL MISCONDUCT.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless Authentica from any claims arising from your Customer Data, your violation of these Terms, or your violation of applicable laws.

We agree to indemnify you from third-party intellectual property claims arising from AI-generated outputs when used in accordance with these Terms.

14. Termination

Either party may terminate with written notice. Upon termination:

  • Your access to the Services will cease
  • We will delete or return your Customer Data within 30 days at your election
  • We will provide written certification of deletion upon request

15. Modifications to Terms

We may update these Terms from time to time. We will provide 30 days' notice for material changes that impose new restrictions. Changes required by law or necessary for security/safety may take effect immediately.

For material changes that significantly restrict your existing use case, you may terminate the affected Services within 30 days of notice with a pro-rata refund of prepaid, unused fees.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state courts of Dover, Delaware or the U.S. District Court for the District of Delaware.

17. Miscellaneous

These Terms constitute the entire agreement between you and Authentica regarding the Services. If any provision is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
